1. What this site is
The site describes our technology, our thinking and our plans. It is for information only. It is written for oil and gas operators, service companies, partners and investors acting in a business capacity. It is not aimed at consumers.
2. Nothing here is an offer
Nothing on the site is an offer, a quote, a promise to contract or a binding commitment. That includes prices, savings, payback periods, revenue shares, partner terms, pilot terms, service levels, transfer, operating or acquisition models, and any statement that starts with "we will". A submitted form or an email exchange does not create a contract.
3. Every arrangement needs a signed agreement
Every pilot, purchase, loan of equipment, software subscription, partnership or reseller arrangement, operating arrangement, well transfer, acquisition and investment is subject to a written agreement signed by authorised representatives of both parties. Until then, neither side is bound.
Once signed, that agreement alone governs the relationship. If anything on the site differs from it, the signed agreement prevails. The site is not part of any agreement unless the agreement expressly says so.
4. Figures are modelled
Unless we say otherwise next to a figure, the numbers on the site come from models. Examples: savings, production uplift, failure rates, workover counts, payback, ROI, partner revenue and returns. They are based on stated or default assumptions, for example the defaults of our ROI calculator. They are:
- not field results or measured data from your wells;
- not a quote, a forecast for any specific well, or a guarantee;
- sensitive to assumptions. Real results depend on well conditions, equipment, operating practice, prices and other factors outside our control.
Case studies on the site are modelled scenarios unless they are expressly labelled as field results.
5. Product descriptions
We describe what our hardware and software are designed to do. Specifications, compatibility and performance for a given well are confirmed only after a technical review and in the signed agreement. Warranties, if any, are given only in that agreement. Your operating, safety and shutdown systems stay your responsibility unless a signed agreement says otherwise.
6. Not an offer of securities
The site, including the investor page, is not an offer to sell, or a solicitation of an offer to buy, any shares, notes, tokens or other securities or financial instruments, in any country. It is not a prospectus or key information document under the Swiss Financial Services Act (FinSA) or any other law, and no regulator has reviewed it. Any offering will be made only to eligible investors, through definitive documents, and only where the law permits. Nothing on the site is investment, legal, tax or accounting advice.
7. Forward-looking statements
Parts of the site describe plans and expectations: for example product roadmaps, acquisitions of wells or leases, partner programmes, financing and use of funds. These statements reflect our current view only. They depend on financing, due diligence, permits, regulatory approvals, market conditions and other risks, and they may not happen. We have no duty to update them.
8. No reliance
Make your own technical, commercial, legal and financial assessment before you act. Don't rely on the site for any decision. If you need something to rely on, ask us for it in writing, and it will be set out in a signed agreement.
9. No warranty on site content
We work to keep the site accurate and available, but we provide it "as is". To the extent the law allows, we give no warranty that the content is complete, current, accurate or fit for a particular purpose, or that the site will be uninterrupted or free of errors or harmful code. We may change or remove content at any time.
10. Limitation of liability
To the extent the law allows, we are not liable for any loss or damage arising from your use of the site or your reliance on its content. This includes direct, indirect and consequential loss, lost production, lost profit and lost data.
This limitation does not apply to liability for unlawful intent or gross negligence (Art. 100 para. 1 Swiss Code of Obligations), to liability that cannot be limited under mandatory law (for example under the Swiss Product Liability Act), or to liability for death or personal injury where mandatory law forbids limiting it. Liability under a signed agreement is governed only by that agreement.
11. Intellectual property
The site and its content belong to SRABS or its licensors. This includes text, drawings, diagrams, 3D models, software, the SRABS name and logo. You may view the site and print or save pages for your own internal evaluation of SRABS. Any other use needs our prior written consent. This includes copying, publishing, changing, reverse engineering, systematic scraping and using the content to build competing products. Quoting short passages with a clear source and a link is fine.
Nothing on the site grants a licence to any patent, design, trademark or know-how.
12. Information you send us
Don't send us confidential information through the contact form or by unsolicited email. Unless we have signed a confidentiality agreement with you, we treat what you send as non-confidential. That doesn't change how we handle personal data, which is set out in our Privacy Notice.
13. Third-party links
The site links to other websites, for example papers, standards bodies and our social profiles. We don't control them and aren't responsible for their content, availability or privacy practices. A link is not an endorsement.
14. Acceptable use
Don't use the site in a way that breaks the law or harms the site or others. That includes probing or attacking our systems, getting around security measures, overloading the site, or sending spam or automated submissions through the contact form.
15. Changes
We may update these terms. The version on this page applies from the date shown above. Please check it each time you use the site.
16. Governing law and venue
These terms and any dispute about the site are governed by Swiss substantive law. The UN Convention on Contracts for the International Sale of Goods (CISG) and Swiss conflict-of-law rules do not apply. The exclusive place of jurisdiction is Zug, Switzerland, subject to mandatory places of jurisdiction under applicable law.
If part of these terms is invalid, the rest still applies.
